Set up a Branch Office in Thailand

Thailand is one of the fastest growing economies in South East Asia, and which is why a lot of multinational companies look forward to establishing their presence on Thai soil. However, a lot of multinational companies that wish to expand their business in Thailand don’t wish to set up a limited company, but do so through a branch office. In accordance with the Thai law, the branch office is also governed by the Foreign Business Act B.E. 2542(FBA). In case the business activities of the foreign company fall under the categories of FBA, the company would also require a Foreign Business License (FBL).

Regional Office and Representative Office in Thailand are limited to non-trading activities, however, which isn’t the case with a Branch office in Thailand. The branch office is allowed to earn income. Liabilities arising out of the business activities of the branch office in Thailand wouldn’t be confined to the Thai branch office but extend to the company’s overseas headquarters as well.

In accordance with the approval of the Foreign Business License, the capitalization would be calculated out of at least 25% of the average estimated expenses for the first three years, however, not lesser than 3 million baht.
