The Concept of Foundation in Thailand
According to the Thai Commercial and Civil Code, a foundation is defined as assets arranged solely for the purpose of charity, arts, literature, science, religion, education, or any public interests, duly registered under the law’s regulations. In a foundation, no director, trustee, or any other member of the foundation must benefit from the profits earned out of the operations of the foundation.
How to Set Up a Foundation in Thailand?
The Thailand Ministry of the Interior has set some rules and regulations concerned with the establishment of foundations through the legislation of the Ministerial Regulations of Regulations, Operation, and Registration of the Foundation B.E. 2545 (2002). The process involves the submission of an application for a Thailand foundation to the district registrar that has jurisdiction over the place, and wherein the head office of the foundation will be established. The following documents must be submitted with the application of the foundation.
- List of the owners’ assets.
- A copy of the testament, in case an asset was given to the foundation by virtue thereof
- List of the allocated assets for the foundation and the registered document indicating the promise of the donation of these assets.
- Details such as the name, address and the profession of all the members of the board of directors of the foundation
- Copy of an ID card or other types of government issued identification cards, and a copy of the house registration of the owners and the members of the board of directors. In case, a member is a priest or a foreigner, other documents indicating his status and his/ her address would be adequate.
- Map of the principal office and its branch offices, if any, and the written permission of the landlord or the owner of these properties.
- Regulations of the foundation
- Minutes of the meeting convened for the establishment of the foundation.
Asset Value of the Foundation
- The asset value of the foundation must be 500,000 baht.
- A minimum of 250,000 baht must be in cash.
- In case of some charitable objectives, the foundation is allowed to have assets of value 250,000 baht, with a minimum of only 100,000 baht in cash.
The Process of Setting up a Foundation in Thailand
- Once the above-specified documents are received, the District Office will inspect the accuracy of the application.
- Further, the District Office will transfer the application to the Ministry of Interior.
- In case, there’s relevance between any of the objectives of the foundation, and any government department, the application would be sent to the respective government department for consideration.
- The application process may take up to one year to complete. Once the process is complete, the Ministry of Interior would inform the applicant about its decision.
